We cover a broad spectrum of services from analysing capital structure options and preparing proposals, through to negotiating and implementing those solutions with all relevant stakeholders. Where required, we draw on the broader range of EY complementary services, including operational restructuring services, valuation and financial modelling services, forensic accounting and tax advisory services.
Achieving an optimal capital structure can be a challenge when a company is facing disruption to its operations and profitability. Legacy obligations may require refinancing or rescheduling, historically passive stakeholders may become activist and traditional capital market options may be closed (temporarily or permanently).
In these situations, we assist EY clients by thinking creatively about their options and interacting with all relevant stakeholders to build consensus around a restructuring solution that seeks to help maximize value for all stakeholders. Every situation is unique and we structure bespoke solutions to address the requirements of the clients and the applicable circumstances.
More specifically we can:
- Help you to identify the various options for reshaping your capital structure and the execution risks of pursuing each option, so that you can make an informed decision on which proposals to present to stakeholders.
- Act as your Financial Advisor to negotiate with stakeholders, build consensus and obtain agreement to the proposals and then execute the transaction.
- Assist in raising new debt, equity or hybrid capital from local and international investors.
In addition to the core Corporate Finance skills of valuation, modelling and (distressed) M&A, we execute these mandates drawing on the deep knowledge and experience of a broad range of recapitalizations and reorganisations; corporate liability management - involving debt buy-backs, tender offers and consent solicitation processes; capital raising, particularly in the expansive private debt markets; pension liability restructuring; and tax matters, which are always an important component of helping deliver a successful transaction.
