Who we are
We are a leading strategic advisor to corporate and private equity (PE) executives and investors within the digital and IT ecosystem. When clients are looking to acquire, merge or divest part of their company or portfolio, our practice can assist with their technical strategy. For example:
- PE client buying a business from another company (carve-out): What does the IT operation and organization look like once the business is carved out from the seller company? What will be the IT running cost at that point? What will be the investment needed to get to that point?
- Client chief information officer: Our company just committed a 10% sales, general and administrative cost synergy to the Street. What levers can we pull in the digital and IT space to meet this synergy target?
- Life sciences client looking to grow market share: How can my prospective acquisition’s cloud and robotic process automation investments support my sales growth goals?
The work we do
Our team excels in defining and supporting strategies in each phase of the merger and acquisition and divestiture life cycles. Key areas of work within a transaction:
- Drive digital and technology strategies
- Identify opportunities within IT to meet and to exceed transaction synergy goals (e.g., investments and cost enhancement)
- Support digital, cyber and IT infrastructure diligence
- Stand up IT management, governance and operating models for the portion of a company that is being sold
- Digital transaction advisory (e.g., vendor and sourcing analysis, integration planning, separation plan, digital transformation post-deal)
- Perform cybersecurity assessments (e.g., identify technical vulnerabilities, recommend cyber strategies, evaluate the total potential losses due to cyber risks
